1. Definitions
In these Terms:
- “Agency” means Knightwell Recruitment.
- “Client” means any company, organisation, or individual engaging the Agency’s services.
- “Candidate” means any person introduced by the Agency to the Client for potential engagement.
- “Engagement” means the employment, hire, or use of a Candidate by the Client in any capacity, whether permanent, temporary, contract, consultancy, or otherwise.
- “Introduction” means the provision of a Candidate’s details to the Client, whether verbally, in writing, or electronically.
2. Acceptance of Terms
These Terms apply to all Introductions and services provided by the Agency.
By:
- Requesting Candidates
- Interviewing a Candidate
- Engaging a Candidate
the Client is deemed to have accepted these Terms in full.
These Terms prevail over any terms proposed by the Client unless agreed in writing by the Agency.
3. The Agency’s Obligations
The Agency will:
- Use reasonable efforts to source suitable Candidates
- Obtain confirmation of a Candidate’s identity, experience, and qualifications where reasonably practicable
- Act in accordance with applicable recruitment legislation and conduct regulations
The Agency does not guarantee:
- Candidate suitability
- Candidate availability
- Performance after Engagement
Final hiring decisions remain the Client’s responsibility.
4. The Client’s Obligations
The Client agrees to:
- Provide accurate details of the role, salary, duties, and requirements
- Notify the Agency immediately of any offer or Engagement of a Candidate
- Pay all agreed fees within the stated payment terms
- Comply with all applicable employment, immigration, and right-to-work laws
The Client is responsible for:
- Obtaining references
- Verifying qualifications
- Conducting background or DBS checks
- Ensuring legal right to work
5. Fees and Charges
A recruitment fee becomes payable when a Candidate introduced by the Agency is Engaged by the Client, whether:
- Directly
- Indirectly
- Through a third party
- In a different role or location
Permanent Placement Fees
Fees are calculated as a percentage of the Candidate’s total first-year remuneration, including:
- Base salary
- Guaranteed bonus
- Allowances or benefits
The applicable percentage will be confirmed in writing before engagement.
6. Rebates (Permanent Placements)
Where a permanent Candidate leaves within an agreed rebate period, the Agency may offer a partial fee rebate, provided that:
- The Client notifies the Agency in writing within 7 days of termination
- The Client has paid the original invoice in full and on time
- The termination is not due to redundancy, restructuring, or misconduct
Any rebate:
- Applies only once per placement
- Will not exceed the original fee
- May be subject to the Agency having the opportunity to provide a replacement Candidate
7. Temporary and Contract Workers
Where the Agency supplies temporary or contract workers:
- Charges will be based on hourly or daily rates agreed in writing
- The Client must approve timesheets promptly
- The Client is responsible for health and safety supervision during assignments
Additional charges may apply for:
- Overtime
- Weekend or public holiday work
8. Introduction Fee Protection Period
If the Client Engages a Candidate within 12 months of the Introduction:
- A full recruitment fee remains payable
- This applies even if the Candidate was not initially hired
9. Confidentiality
All Candidate information is confidential and provided solely for recruitment purposes.
The Client must not:
- Share Candidate details with third parties
- Forward CVs outside their organisation
If a third party Engages the Candidate, the Client remains liable for the fee.
10. Limitation of Liability
To the fullest extent permitted by law, the Agency shall not be liable for:
- Loss of profits, business, or opportunity
- Indirect or consequential losses
- Any acts, omissions, or performance of a Candidate after Engagement
Nothing excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot legally be excluded
11. Data Protection
Both parties agree to comply with:
- UK GDPR
- Data Protection Act 2018
Candidate data must be:
- Used only for recruitment purposes
- Stored securely
- Not retained longer than necessary
12. Termination
Either party may terminate the business relationship at any time.
Termination does not affect:
- Fees due for existing Introductions
- Ongoing payment obligations
13. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
